TRADE PORTAL E-USER AGREEMENT
Please review the terms and conditions herein contained carefully before using the Trade Portal.
This is the Trade Portal e-User Agreement between you, as the Partner, and Qatar Airways (hereinafter referred to collectively as the “Parties” and individually as a “Party”) for the access and use of the Trade Portal provided by Qatar Airways through its website www.qatarairways.com/tradeportal. In accessing the Trade Portal, you may access to information which includes any information, data, tools, goods, works, products, services and other content available on or through the Qatar Airways website. By registering through and accessing the Trade Portal you agree to be bound by the terms and conditions contained herein. The Trade Portal, including but not limited to electronic registration, is owned and operated by Qatar Airways. The Partner is required to complete its company profile and fulfil the requirements to allow Qatar Airways to provide a Membership ID for a secure access and use of the Trade Portal. This will allow the Partner to complete all the required information for the registration process.
The following terms used in these Terms and Conditions shall have the meaning set out below, unless the context requires otherwise:
Account means the membership account assigned by Qatar Airways to a Partner (as defined below) for the registration, access and use of the Trade Portal.
Admin refers to an administrator appointed by the Manager of the Partner to oversee and manage administrative tasks associated with the Partner’s Account and the Partner’s Users registered on the Trade Portal.
Application Form means the online application form available on www.qatarairways.com/tradeportal to apply for registration with the Trade Portal.
Contact us means the Qatar Airways email address dedicated to answering Partners’ queries at tradeportal@qatarairways.com.qa.
Financial Year means the period between 01 April of one year until 31 March of the following year.
Group Account refers to an agency setup in the Qatar Airways Trade Portal where multiple IATA numbers are linked under a single administrative structure. This allows authorized agents within the group to service PNRs booked by any IATA in the group.
Group Admin means an administrator designated by the Group Manager for the management of administrative tasks related to the Partner’s Group Account and the Partner’s Users registered under the same Group Account in the Trade Portal.
Group Manager if the Partner has multiple IATA codes that are linked to a Trade Portal Account, then Qatar Airways may, at its entire discretion, provide the Manager the privilege to become a Group Manager, who will have full control of the Trade Portal Group Accounts, and is responsible for assigning an authorized company employee as global administrator or agents, and having full control over the administration of all Users registered under this Group Account.
Manager means the primary contact of the Partner or authorized representative who has the full control of the Trade Portal Account and is responsible for assigning a legitimate company employee as administrator or agents, and having full control over the administration of all Users registered under his agency.
Membership ID means a unique alpha numeric code assigned by Qatar Airways to each Partner upon registering to the Trade Portal.
Partner(s) means the registered travel agency(ies) or authorized entity(ies) on the Trade Portal that is/are granted access to use the platform for business activities, including but not limited to browsing, purchasing, and managing transactions in accordance with the terms of this E-user Agreement (also hereinafter referred to as “you” or “your”).
Qatar Airways means collectively Qatar Airways Group Q.C.S.C., a Qatari closed shareholding company existing and organised under the applicable law of the State of Qatar (commercial registration No. 16070) having its principal place of business address at Qatar Airways Tower 1, Airport Road, PO Box 22550, Doha, State of Qatar and its subsidiaries, affiliated companies and managed entities (including but not limited to Amiri Flight, Hamad International Airport and Doha International Airport).
Terms and Conditions mean these terms and conditions governing the registration with, the access to and use of the Trade Portal as may be amended from time to time by Qatar Airways.
Trade Portal means Qatar Airways’ online platform that allows Partners to engage into business-to-business transactions, including browsing products and services, placing orders, managing accounts, and accessing related information.
User is any user designated by the Manager who can access and use the Trade Portal.
Verification Code means the One Time Password (OTP) as a default password that is sent to the registered email ID to login to the Trade Portal.
www.qatarairways.com/tradeportal means the Trade Portal, as amended from time to time, providing latest Qatar Airways’ updates, policies and services.
Qatar Airways uses industry standard security measures, to safeguard any information the Partner may provide to Qatar Airways on the Trade Portal. For security purposes while using the Trade Portal, the Partner may be provided by Qatar Airways with Membership ID for reference purposes. The Partner hereby agrees to: (i) be solely responsible for maintaining the confidentiality and security of the Membership ID provided by Qatar Airways for the use of the Trade Portal and may not disclose such Membership ID(s) to any third party(ies), and (ii) be fully be responsible for any and all activities which occur in connection with its use or their uses; and (iii) notify Qatar Airways of any changes and/or amendments and/or deletions made to the user(s) of the Trade Portal. The Partner further agrees that it will not permit any other third party to access or use the Trade Portal using such Membership ID(s) allocated to it.
3.1 Registration with the Trade Portal is available to travel agencies only.
3.2 To register, a Manager must complete the Application Form. Upon verification of the Manager’s email address, Qatar Airways will assign a Membership ID and send a Verification Code to confirm the registration. As a condition of registration, the Manager is required to agree to these Terms and Conditions. Registration is granted at the sole discretion of Qatar Airways and Qatar Airways may refuse registration to any applicant.
3.3 After the completed Application Form is submitted, Qatar Airways will verify the application thoroughly and once the email account has been verified and registration accepted by Qatar Airways, a unique Membership ID will be generated and emailed to the Partner Manager to create a password.
3.4 Membership ID is strictly non-transferable and each Partner can only hold one (1) Account at any time.
3.5 Multiple registrations using the same email address are not allowed. Each Partner cannot be concurrently associated with more than one Trade Portal Account.
3.6 The Manager shall immediately inform Qatar Airways of any change of Manager, Group Manager, Admin or Group Admin or contact details.
3.7 Qatar Airways reserves the right to audit a Partner's Account and records without notice to the Partner in order to verify compliance with these Terms and Conditions and any other applicable rules, regulations or terms and conditions.
4.1 Where the Partner transmits documents through the Trade Portal using its Membership ID(s) as provided by Qatar Airways, such documents shall be deemed to have been submitted by a duly authorized agent, officer, employee or representative of the Partner. Partner hereby waives any defence to the enforceability of any contract formed as a result of the transmission of such document on the ground that it was incorrectly submitted or submitted by an unauthorized agent, officer, employee or representative of the Partner.
5.1 Managers are required to keep their Account up to date at all times and Managers acknowledge that they are responsible for notifying Qatar Airways of any change in any of their Account details.
5.2 Once a Manager’s application is verified and have an access to the Trade Portal, he/she can assign an Admin to perform administrative tasks in relation to the Partner’s Account and other Partner Users registered in the Trade Portal.
5.3 Once a Manager application is verified and have been assigned as Group Manager by Qatar Airways sales representatives, he/she can assign a Group Admin to perform administrative tasks in relation to the Partner’s Account or Account agency group and other Users registered in the Trade Portal.
5.4 Admin, on behalf of the Manager, can provide access to the Trade Portal to other Partner Users. It is the Partner Manager responsibility to enrol only authorised and licensed agents to the Trade Portal.
5.5 Group Admin, on behalf of the Group Manager, can provide access to the Trade Portal to Users in any account belonging to the same Group Account. It is the Group Manager and Group Admins responsibilities to enrol only authorised and licensed agents to the Trade Portal.
5.6 For password lockout reset, please follow the instructions for “forget password” available in the log-in screen available on the Trade Portal.
6.1 By accepting these Terms and Conditions the Partner agrees that Qatar Airways can send electronic communications (SMS, email, push notifications or social media etc.) with marketing communications, offers, news, market research (individually a “Promotion” and collectively “Promotions”) using the Partner information provided on the Trade Portal. Qatar Airways and / or its partners will provide the relevant terms and conditions, or details of where they can be found if applicable, when communicating Promotions. The terms and conditions for each Promotion will take precedence over any other statement in these Terms and Conditions. Partners may withdraw their consent at any time in writing to Qatar Airways, by logging into the Account or by any other means for withdrawing consent made available by Qatar Airways from time to time.
6.2 Qatar Airways may at their own discretion, limit Promotions offered in connection with the Trade portal to specific Partners. For example, some Partners may be eligible to participate in local Promotions in the country of registration by reference to the preferred postal code address associated with the Account.
6.3 Some Promotions may not be combined with other awards, promotions, coupons, discounts benefits, or special offers. In this case, Qatar Airways will only apply the Promotion that offers the highest benefit or recognition. Some Promotions may be combined, at Qatar Airways’ sole discretion. If there is a need to quote a promotional code at the time of purchasing a ticket or when redeeming an award, the promotional code will be effective regardless of any other offer that applies to the transaction.
7.1 The Partner expressly understands and agrees that:
(i) The Trade Portal is provided on an “as is” and “as available” basis. Qatar Airways expressly disclaims all warranties of any kind, whether expressed or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
(ii) Qatar Airways does not warrant the availability, timeliness, functionality, reliability, sequencing or speed of delivery of the Trade Portal or the content, and is not responsible for internet outages, hardware and/or software failures, downtime, force majeure event (including without limitation acts of God, strikes or other concerted acts of workers, bomb threats, fires, floods, explosions, riots, war and sabotage) and/or user errors.
(iii) Any material downloaded or otherwise obtained through the use of the Trade Portal is done at Partner’s own discretion and risk and the Partner will be solely responsible for any damage to Partner’s computer system or loss of data that results from the download of any such material or any virus that may be contained therein.
(v) The Partner warrants and represents that all information posted and/or presented, including but not limited to business and/or financial information is accurate, truthful, and not misleading or fraudulent, and does not infringe on any copyright, patent, trademark or any other proprietary rights of any third party.
7.2 In connection with the Partner’s use of the Trade Portal, the Partner agrees not to put any computer programs, information or data into the Trade Portal which contains any viruses, time bombs, Trojan horses, worms, cancel bots or other computer programming routines that may damage, detrimentally interfere with, intercept or expropriate any system, data or information of Qatar Airways or its Partners. The Partner further agrees not to use any mechanism, device, application, software or programming, etc., to interfere or attempt to interfere with the proper working of the Trade Portal.
7.3 The Partner is responsible for implementing sufficient firewalls, protections, procedures and checkpoints to satisfy particular requirements for the protection of their system and/or accuracy of data input and output, and for maintaining a means external to Qatar Airways for the reconstruction of lost data.
8.1 Each Party agrees (i) to treat the other’s information and data transmitted to the Trade Portal as proprietary confidential information (“Confidential Information”) to the other, (ii) that it will not knowingly disclose to any person or entity not a party to this e-User Agreement, or use for its own or any such person’s or entity’s benefit any Confidential Information belonging to the other Party to this e-User Agreement without the other Party’s prior written consent, and (iii) that it will use all commercially reasonable efforts to maintain the confidentiality of all Confidential Information of the other Party to this e-User Agreement and to prevent the unauthorized disclosure and dissemination of any of the Confidential Information. In no event will any Party hereto use less care to maintain the confidentiality of the other Party’s Confidential Information than it uses to maintain the confidentiality of its’ own information of equal importance.
8.2 Confidential Information, whether or not described above, does not include information that (i) is or becomes known to the public without fault or breach on the part of the Party to this e-User Agreement seeking to disclose it, (ii) the owning Party regularly discloses to third parties without restriction on disclosure, (iii) the Party to this e-User Agreement seeking to disclose it receives from a party other than a Party to this e-User Agreement without restriction on disclosure and without breach of a non-disclosure obligation, or (iv) is required by legal process to be disclosed; provided however, that the Party receiving such process will notify the other Party prior to such disclosure and will take such reasonable steps as the other Party may request to protect the confidentiality of the Confidential Information.
8.3 The provisions of this Clause shall survive the expiration or termination of this e-User Agreement, including but not limited to any discontinuance of or termination of Partner’s access or use to the Trade Portal provided in these Terms and Conditions.
The Trade Portal is protected by one or more copyrights, patents, database rights, trademarks, service marks and/or other intellectual property rights. It is prohibited to quote or copy in part or in whole the content of the Trade Portal without any prior written consent from Qatar Airways. Violation of this provision is subject to the exercise of claim and suit pursuant to both criminal and civil laws applicable in the State of Qatar.
Except as explicitly stated otherwise or as required by law, the Partner shall provide any notices to Qatar Airways by email to www.qatarairways.com/tradeportal and Qatar Airways shall provide any notices to the Partner at the e-mail and/or courier/postal address that Partner provides to Qatar Airways during the e-registration process, or such other address as either Party shall specify in a notification in accordance with this section.
Without limiting the generality or effect of other provisions of the e-User Agreement, as a condition of use, the Partner agrees to indemnify, hold harmless, and defend Qatar Airways and its subsidiaries, affiliates, suppliers and their officers, directors, affiliates, subcontractors acting in their capacity of providing services, goods, works to Qatar Airways, agents and employees (collectively, “Indemnified Parties” and each, individually, an “Indemnified Party”) against all costs, expenses, liabilities and damages incurred by any Indemnified Party in connection with any third party claims arising out of (a) such Partner's usage hereunder and/or engagement in transactions on the Trade Portal in breach with the terms of this E-user Agreement, (b) such Partner's failure to comply with any applicable laws and regulations including data protection and privacy, (b) such Partner's breach of any of its obligations set forth in this e-User Agreement; and (c) infringement claims asserted against Qatar Airways based on its use of Partner's intellectual and informational property. The Partner shall not settle any such claim without the written consent of the applicable Indemnified Party, such consent shall not be unreasonably withheld, conditioned or delayed.
IN NO EVENT SHALL QATAR AIRWAYS, NOR ANY OFFICER, AFFILIATE, DIRECTOR, SHAREHOLDER, AGENT, CONTRACTOR OR SUBCONTRACTOR ACTING IN ITS CAPACITY OF PROVIDING SERVICES, GOODS, OR WORKS TO QATAR AIRWAYS, OR ITS EMPLOYEES BE LIABLE TO THE PARTNER OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, EARNINGS, OR BUSINESS OPPORTUNITIES, OR EXPENSES OR COSTS, EVEN IF ADVISED OF THE POSSIBILITY THEREOF, RESULTING DIRECTLY OR INDIRECTLY FROM, OR OTHERWISE ARISING (HOWEVER ARISING, INCLUDING NEGLIGENCE) OUT OF: THE USE OF THE TRADE PORTAL BY PARTNER, INCLUDING, BUT NOT LIMITED TO, DAMAGES RESULTING FROM OR ARISING OUT OF SUCH PARTNER'S RELIANCE ON THE TRADE PORTAL OR THE MISTAKES, OMISSIONS, INTERRUPTIONS, ERRORS, DEFECTS, DELAYS IN OPERATION, NON-DELIVERIES, MISDELIVERIES, TRANSMISSIONS, EAVESDROPPING BY THIRD PARTIES, OR ANY FAILURE OF PERFORMANCE OF THE TRADE PORTAL; ANY AGREEMENT ENTERED INTO BETWEEN PARTNER AND ANY THIRD PARTY (OR THE NEGOTIATIONS OR DISCUSSIONS CONDUCTED IN ANTICIPATION OF ANY SUCH AGREEMENT), THE TERMINATION OR SUSPENSION OF PARTNER'S USER ID AND PASSWORD BY QATAR AIRWAYS FOR THE USE OF THE TRADE PORTAL (AT ITS OWN DISCRETION OR UPON QATAR AIRWAYS’ REQUEST) PURSUANT TO THIS E- USER AGREEMENT; THE FAILURE, OR ALLEGED FAILURE, OF ANY PRODUCT OR SERVICE PURCHASED PURSUANT TO THE TRADE PORTAL TO CONFORM TO ANY TERMS, WHETHER PUBLISHED ON THE TRADE PORTAL OR NOT; THE BREACH, OR ALLEGED BREACH, OF ANY WARRANTY, EXPRESS OR IMPLIED, RELATING TO ANY SUCH PRODUCT, SERVICE; OR GOVERNMENT RESTRICTIONS, STRIKES, WAR, ANY NATURAL DISASTER OR FORCE MAJEURE, OR ANY OTHER CONDITION BEYOND QATAR AIRWAYS’S REASONABLE CONTROL.
13.1 Both Parties shall comply with any obligations imposed on them under any applicable Data Protection Laws to the extent that such Data Protection Laws are applicable to the Partner in respect of the personal information provided by the Partner to Qatar Airways under this e-User Agreement (“Partner’s Personal Data”). For the purposes of this clause, “Data Protection Laws” means any law, regulations or legally binding obligation, relating to data privacy, trans-border data flows or data protection governing the collection, use, storage or management of personally identifiable information exchanged under this e-User Agreement or by use of the Trade Portal.
13.2 Qatar Airways, as the controller of the Partner’s Personal Data, will process them for the purpose of granting the Partner access to the Trade Portal, based in Qatar Airways’ legitimate interest in providing information, products and services on the Trade Portal. The Partner’s Personal Data could be shared with third parties providing (private or public) cloud storage services.
The Partner accepts the Qatar Airways Supplier Code of Conduct at the time of registration. The Policy can be viewed at https://www.qatarairways.com/content/dam/documents/legal/Supplier-code-of-conduct.pdf or can be provided on request.
This e-User Agreement shall be governed by, interpreted and construed and enforced in accordance with the applicable laws of Qatar. The courts of Qatar shall have exclusive jurisdiction over all disputes arising out of or in connection with this e-User Agreement and their decisions shall be final and binding on the Parties.
16.1 Partner agrees that this e-User Agreement shall govern the Partner’s usage and participation of the Trade Portal for the above-mentioned purpose and shall be effective on the date this e-User Agreement is accepted by the Partner on the Trade Portal.
16.2 Partner agrees that Qatar Airways, in its sole discretion, may terminate Partner’s Membership ID and password or participation of any event of the Trade Portal and remove and discard any Partner information within the Trade Portal for any reason, including, without limitation, for lack of use or if Qatar Airways believes that Partner has violated or breached this e-User Agreement.
16.3 Qatar Airways may also in its sole discretion and at any time discontinue the Trade Portal or any part thereof, with or without notice.
16.4 Further, Partner agrees that Qatar Airways shall not be liable to Partner or any third party for Qatar Airways’ decision to suspend, discontinue or terminate Partner’s access or use to the Trade Portal.
16.5 Unless expressly stated under this e-User Agreement, any termination of the e-User Agreement shall not relieve the Party of any obligation accrued hereunder before the effective date of such termination, or affect Party's rights obtained hereunder.
17.1 A Partner usage of the Trade Portal shall constitute its acceptance and agreement to be bound by the Terms and Conditions of this e-User Agreement.
18.1 Except as explicitly stated otherwise or required by law, the Partner shall provide any notices to Qatar Airways by email, courier or postal mail to Qatar Airways Group Q.C.S.C., Qatar Airways Tower 1, Airport Road, PO Box 22550, Doha, State of Qatar, Email: grouplegal@qatarairways.com.qa, Attention: Chief Legal Officer & General Counsel and Qatar Airways shall provide any notices to the Partner at the e-mail and/or courier/postal address that Partner provides to Qatar Airways during the registration process, or such other address as either Party shall specify in a notification in accordance with this section.
19.1 This e-User Agreement constitutes the entire agreement and understanding between the Parties with respect to the Partner's access and use of the Trade Portal. Neither the course of conduct between the Partner and Qatar Airways nor trade practice shall act to modify any provision of the e-User Agreement.
19.2 Headings are for reference only.
19.3 A Party's failure to insist upon or enforce strict performance of any provision of the e-User Agreement shall not be construed as a waiver of any provision or right.
19.4 If any particular provision of the e-User Agreement is held to be invalid or unenforceable, such determination shall not affect any other provision of the e-User Agreement which shall remain in full force and effect. In addition, if any provision contained in the e-User Agreement shall for any reason be held to be excessively broad as to activity or subject, it shall be construed by limiting and reducing it, so as to be enforceable to the extent compatible with the applicable law.
19.5 Nothing in this e-User Agreement shall be deemed or interpreted to create any relationship between Qatar Airways and the Partner other than that of independent contractors. No agency, partnership, joint venture, employee-employer or any other type of relationship is intended to be created by this e-User Agreement.
19.6 You shall comply fully with all applicable statutes, laws, orders, rules and regulations in the performance of this e-User Agreement including, but not limited to all applicable local laws tax, import and export, anti-bribery and corruption, and environmental laws. The Parties shall obtain and maintain, all licences, authorisations, and permits and other governmental authorisations required without any restrictions or qualifications whatsoever so as to enable them to fulfil their respective obligations under this e-User Agreement.
19.7 You shall comply with the Qatar Airways Website Terms of Use which are incorporated by reference hereto and which can be found on https://www.qatarairways.com/en-qa/legal.html and which may be amended from time to time without notice. In the event of any conflict between this e-User Agreement and the Qatar Airways Website Terms of Use then the terms of this e-User Agreement shall prevail.
19.8 We may amend, update or otherwise change, at any time and without prior notice, any or all of the terms of this e-User Agreement. Please check the contents of www.qatarairways.com/tradeportal periodically for changes. Your continued use of www.qatarairways.com/tradeportal, or of any part thereof following the posting of any changes constitutes acceptance of those revised terms and of any subsequent changes. Each such amendment shall become automatically valid and enforceable at the time when first displayed by us at www.qatarairways.com/tradeportal.
19.9 These Terms and Conditions shall be read and construed together with Qatar Airways Partner Agency Policies (QAPAP) accessible at https://www.qatarairways.com/tradeportal/en/policies/QAPAP.html, as amended from time to time. The terms, conditions, policies, schedules and appendices comprising the QAPAP are hereby expressly incorporated by reference and shall supplement these Terms and Conditions. In the event of any conflict or inconsistency between these Terms and Conditions and the QAPAP, the provisions of the QAPAP shall prevail to the extent of such conflict or inconsistency.
